Welcome to HR Ministry Solutions ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website (hrministrysolutions.com) and any human resources consulting, advisory, training, or coaching services we provide (collectively, the "Services"). By accessing our website, submitting an inquiry, or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

1. Description of Services

HR Ministry Solutions provides human resources consulting and advisory services, along with training and coaching programs, which may include (without limitation): HR policy and compliance guidance, employee relations support, organizational development advice, workplace training sessions, leadership and management coaching, and related materials. The specific scope of Services for each engagement will be described in a proposal, statement of work, invoice, or written agreement between the parties ("Engagement"). These Terms apply in addition to, and in the event of a direct conflict, are superseded only to the extent modified by, a signed Engagement document.

2. Eligibility and Client Responsibilities

By using our Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

You agree to:

  • Provide accurate, current, and complete information necessary for us to perform the Services;

  • Cooperate in good faith, including providing timely access to relevant personnel, documents, and systems where applicable;

  • Retain sole responsibility for final decisions regarding your organization's HR policies, personnel actions, and compliance obligations;

  • Use any materials, templates, or training content provided solely for your own internal business purposes unless otherwise agreed in writing.

3. Fees and Payment

Fees for Services will be set out in the applicable proposal, invoice, or Engagement. Unless otherwise stated:

  • Invoices are due upon receipt or within the timeframe stated on the invoice.

  • Payments may be collected through our website via a third-party payment processor. By submitting payment, you authorize us (or our payment processor) to charge the payment method provided.

  • All fees are exclusive of applicable taxes unless stated otherwise.

4. Cancellations, Rescheduling, and Refunds

Cancellation, rescheduling, and refund terms for a specific Engagement (such as a training session, workshop, or coaching package) will be specified at the time of booking or in the applicable Engagement document. Unless otherwise stated in that document:

  • Fees already paid for completed consulting hours, delivered training sessions, or work product are non-refundable.

  • We reserve the right to reschedule sessions due to illness, emergency, or unforeseen circumstances, and will make reasonable efforts to notify you promptly.

5. Intellectual Property

All materials created or provided by HR Ministry Solutions in connection with the Services including training decks, templates, frameworks, written guidance, and coaching materials remain the intellectual property of HR Ministry Solutions unless otherwise agreed in writing. Clients receive a limited, non-exclusive, non-transferable license to use such materials for their own internal business purposes. You may not resell, publicly distribute, or use our materials to create a competing product or service without our prior written consent.

Any pre-existing intellectual property you provide to us remains your property. You grant us a limited license to use such materials solely to perform the Services.

In the event that any copyrighted work(s) are created as a result of the Services provided in accordance with this Agreement, HR Ministry Solutions owns all copyrights in any and all work(s) it creates or produces pursuant to federal copyright law (Title 17, Chapter 2, Section 201-02 of the United States Code), whether registered or unregistered.  However, we grant to Client a non-exclusive license of the product(s) produced with and for Client for personal use.

6. Confidentiality

For purposes of this Agreement, all information that Client provides to us, all information pertaining to the Services performed by us, and all information regarding Client’s business shall be deemed and treated as strictly confidential, non-public information (“Non-Public Information”) unless and until Client specifically authorizes HR Ministry Solutions in writing that any such information may be treated as public.

7. No Guarantee of Results; Not Legal Advice

HR Ministry Solutions provides general HR consulting, training, and coaching services based on professional experience and generally accepted practices. We do not guarantee any specific business outcome, employee performance result, or legal or regulatory compliance outcome. Our Services do not constitute legal, tax, or financial advice, and are not a substitute for review by a qualified attorney or accountant. Employment laws vary by jurisdiction and change over time; you are responsible for confirming compliance with applicable federal, state, and local laws, and we recommend consulting a licensed attorney for legal matters specific to your organization.

8. Limitation of Liability

To the maximum extent permitted by law, HR Ministry Solutions and its owners, contractors, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of our Services or website, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from the Services shall not exceed the total fees paid by you for the specific Engagement giving rise to the claim in the preceding twelve (12) months.

9. Indemnification

You agree to indemnify and hold harmless HR Ministry Solutions and its owners, contractors, and representatives from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, violation of these Terms, or violation of any law or third-party right.

10. Termination

Either party may terminate an Engagement in accordance with the terms specified in that Engagement document by the parties’ written consent. HR Ministry Solutions may terminate an Engagement, in whole or in part, at any time and for any reason, upon written notice to Client. In the event of such termination, the Client will be refunded a pro rata portion of any prepaid fees for Services not yet performed as of the effective date of termination. Any fees for Services rendered prior to termination shall be non-refundable, and Client shall have no further rights or claims against HRMS arising from such termination.

11. Website Use

Our website is provided "as is" for the purpose of describing our Services, allowing inquiries, and, where applicable, accepting payments and bookings. You agree not to misuse the website, attempt unauthorized access to our systems, or use the website for any unlawful purpose. We may update, suspend, or discontinue any part of the website at any time.

12. Governing Law and Disputes

These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles, unless otherwise required by applicable law. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If unresolved, the parties agree that the dispute shall be resolved in the state or federal courts located in California, and each party consents to the jurisdiction of such courts.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Effective Date." Continued use of our Services or website after changes take effect constitutes acceptance of the revised Terms.
